1. Who these terms apply to
These terms govern access to the Nexa SMS partner panel and API endpoints. By applying for or using a partner account you accept them on behalf of yourself and any organisation you represent.
2. Partner accounts
Accounts are issued after review and are personal to the partner. You are responsible for keeping credentials, API keys and 2FA factors confidential, and for all activity carried out under them. Sharing or reselling access without written agreement is not permitted.
3. Acceptable traffic
Only lawfully obtained inbound verification and OTP traffic may be routed through the platform. Spoofed sender IDs, artificially generated or duplicated traffic, traffic obtained through unauthorised access to third-party accounts, and any traffic that breaches carrier or local regulatory rules are prohibited. Traffic failing quality screening is not billable, and repeated breaches result in account termination.
4. Rates and billing
Rates are quoted in USD per received, billable message and are confirmed in writing during onboarding. Published rate cards are indicative and reviewed against carrier pricing; material changes are notified in advance through the panel and the partner channels. Only messages that pass screening and are accepted by the destination carrier are billable.
5. Settlement
Balances accrue in real time and are withdrawable once the $50 minimum is reached. Requests placed before 18:00 UTC are normally settled the same working day, subject to compliance checks. Payout details are the partner's responsibility; funds sent to an address supplied by the partner cannot be recovered.
6. Availability
We operate redundant infrastructure and publish measured uptime, but we do not warrant uninterrupted service. Planned maintenance is announced in advance on the partner channels.
7. Suspension and termination
We may suspend an account immediately where there is a credible indication of fraud, a compliance breach or a security incident, and will explain the reason as soon as it is safe to do so. Either party may close an account with notice; accrued, billable balances remain payable.
8. Liability
To the extent permitted by law, liability is limited to amounts payable to the partner in the three months preceding the event giving rise to the claim. We are not liable for indirect or consequential loss.
9. Changes
These terms may be updated; the effective date is shown above and material changes are notified through the panel. Continued use after the effective date constitutes acceptance.
